Introduction
These Terms of Service govern your access to and use of https://chatwise.us/ and any custom software development, business application development, technical support, software modification, consulting, integration, or related digital services provided by Chatwise LLC, operating under the ChatWise brand ("ChatWise," "we," "us," or "our").
By accessing our website, submitting a project inquiry, requesting a quote, accepting a proposal, making a payment, or using our services, you agree to these Terms of Service. If you do not agree with these terms, you should not use the website or purchase our services.

Our Services
ChatWise provides custom software and application development services for businesses. Depending on the agreed project, our services may include web applications, internal business tools, inventory management systems, invoicing tools, customer relationship management systems, reports, analytics, automation, integrations, technical support, software updates, and related services.
Each project is customized according to the customer's stated requirements. The exact features, scope, price, timeline, delivery method, support period, and other project-specific conditions will be defined in a proposal, invoice, service agreement, statement of work, order confirmation, or other written communication accepted by both parties.
Acceptance of Project Terms
A project begins only after the customer accepts the applicable proposal or other written project terms and completes any required initial payment.
Acceptance may be confirmed through a signed agreement, written email approval, electronic confirmation, payment of an invoice, or another method reasonably indicating that the customer has approved the project.
The project-specific documents form part of the agreement between the customer and ChatWise. If a project-specific document directly conflicts with these Terms of Service, the project-specific document will apply to that particular matter.
Eligibility and Authority
You must be legally capable of entering into a binding agreement to use our paid services.
If you contact us or purchase services on behalf of a company, organization, or another person, you confirm that you have authority to act on their behalf and to accept these Terms of Service.
You are responsible for ensuring that the information you provide is accurate, complete, and authorized.
Project Scope
The scope of each project will be based on the functions, modules, integrations, design requirements, technical requirements, and deliverables described in the accepted project documentation.
Only the work expressly included in the agreed scope is included in the quoted price. Requests that add new features, change approved functionality, alter integrations, expand the project, or require additional work may be treated as a change to the original scope.
ChatWise may provide a revised estimate, additional invoice, or adjusted delivery schedule before beginning work outside the agreed scope.
Customer Responsibilities
The customer must provide the information, materials, approvals, feedback, access credentials, technical details, content, and other cooperation reasonably required to perform the services.
The customer is responsible for reviewing drafts, test versions, and delivered work within a reasonable timeframe and for clearly communicating any requested corrections or concerns.
Delays in providing information, access, feedback, approvals, or other required materials may affect the delivery schedule. ChatWise will not be responsible for delays caused by incomplete, inaccurate, late, or unavailable customer input.
The customer is responsible for ensuring that all materials, data, text, images, software, trademarks, credentials, and other content supplied to ChatWise may lawfully be used for the project.
Project Estimates and Timelines
Any prices, delivery periods, development timeframes, package descriptions, or service examples displayed on the website are general estimates unless confirmed in project-specific written documentation.
The final price and delivery schedule depend on the project scope, technical complexity, customer requirements, third-party integrations, availability of required information, feedback times, and requested changes.
Any reference to an initial version, working version, delivery estimate, or expected completion date is an estimate rather than an unconditional guarantee unless ChatWise expressly confirms otherwise in writing.
ChatWise will make reasonable efforts to communicate material changes to an agreed schedule.
Prices and Payment
The customer agrees to pay all fees stated in the accepted proposal, invoice, service agreement, or other project documentation.
Custom software projects may be charged as a one-time fee, in stages, through milestone payments, or according to another written payment schedule. Optional technical support, maintenance, or software modification services may be charged separately or on a recurring monthly basis.
Payment is due according to the deadline stated on the relevant invoice or project document. ChatWise may delay the start of work, pause development, withhold delivery, restrict support, or suspend services when an amount is overdue.
Any taxes, bank charges, currency conversion costs, or payment processing fees will be handled as stated in the invoice or as required by the relevant payment provider and applicable law.
Payment Processing
Payments may be processed through third-party payment providers.
By submitting a payment, the customer authorizes the relevant payment provider to process the transaction. Payment services are also subject to the payment provider's applicable terms and privacy practices.
ChatWise may receive transaction information such as the customer's name, payment amount, billing details, payment status, and transaction reference, but full payment card details are generally handled directly by the payment provider.
Changes and Additional Work
The customer may request changes during development. ChatWise will determine whether a requested change is included in the original scope or represents additional work.
Additional work may require a revised price, new payment, extended delivery period, or separate agreement. ChatWise is not required to begin additional work until the customer approves the revised terms.
Minor corrections that are included within an agreed revision or support period will be handled according to the applicable project documentation.
Reviews, Testing, and Approval
ChatWise may provide previews, test versions, demonstrations, or development builds for customer review.
The customer should test the relevant functionality and report errors, missing agreed features, or other issues within the review period communicated by ChatWise.
Customer approval may be provided expressly in writing or may be reasonably inferred when the customer confirms completion, begins using the delivered software in normal business operations, or does not report a material issue within an agreed review period.
Approval does not apply to hidden defects that could not reasonably have been identified during ordinary testing.
Delivery of Services
Software may be delivered electronically through file transfer, repository access, installation, deployment, account access, local setup, or another method agreed for the project.
Where the project is designed to operate locally on the customer's device or network, the customer is responsible for maintaining suitable hardware, operating systems, security, backups, and technical conditions unless separate services have been agreed.
Delivery is considered complete when the agreed deliverables have been made available to the customer in the agreed manner, subject to any remaining obligations stated in the project documentation.
Support and Modifications
Support, maintenance, updates, and future modifications are included only when expressly stated in the applicable project terms.
A limited period for included corrections or modifications may apply after delivery. The duration and scope of that period will be determined by the accepted proposal or service package.
Optional monthly support may include corrections, minor modifications, assistance, or other services described in the relevant support arrangement. It does not automatically include unlimited development, major new modules, complete redesigns, third-party costs, or work outside the agreed support scope.

Cancellation and Refunds
Project cancellations and refund requests are governed by the Refund and Cancellation Policy and any applicable project-specific agreement.
Because custom software services involve reserved development time and work performed specifically for the customer, cancellation does not automatically entitle the customer to a full refund.
Any refund eligibility may depend on the stage of the project, completed work, approved milestones, reserved time, non-refundable third-party expenses, delivered materials, and other relevant circumstances.
Intellectual Property
ChatWise retains ownership of its pre-existing software, tools, libraries, frameworks, templates, development methods, general technical knowledge, reusable components, and other materials created or owned independently of a customer project.
Ownership or usage rights relating to custom code and project deliverables will be determined by the accepted project documentation.
Where the agreed project terms provide that ownership of custom code transfers to the customer, the transfer will occur only after full payment of all amounts due for the relevant work.
Third-party software, open-source components, integrations, fonts, libraries, platforms, and other external materials remain subject to their own licenses and terms. ChatWise cannot transfer ownership of third-party materials.
Unless otherwise agreed in writing, ChatWise may retain and reuse general knowledge, techniques, non-confidential methods, and independently developed components that do not disclose the customer's confidential information or uniquely reproduce the customer's custom deliverable.
Customer Content
The customer retains ownership of content, data, logos, trademarks, documents, and other materials supplied by the customer.
The customer grants ChatWise permission to access, copy, process, test, modify, and use those materials only as reasonably necessary to evaluate, develop, deliver, support, or modify the project.
The customer confirms that the provided materials do not unlawfully infringe the rights of another person or entity.
Confidentiality
Each party may receive non-public business, technical, operational, or commercial information from the other party.
The receiving party should use such information only for the relevant business relationship and should take reasonable steps to prevent unauthorized disclosure.
Information will not be considered confidential if it is publicly available without breach of an obligation, was already lawfully known to the receiving party, was independently developed without use of the confidential information, or was lawfully received from another source.
Disclosure may be made when required by law or a valid legal request.
More detailed confidentiality obligations may be included in a separate agreement where appropriate.
Data and Backups
The customer remains responsible for the legality, accuracy, integrity, and backup of its business data unless the parties expressly agree otherwise in writing.
Where software operates on the customer's own computer, server, or network, the customer is responsible for device security, access controls, backups, system maintenance, and protection against data loss.
ChatWise is not responsible for loss caused by missing backups, unauthorized access, hardware failure, malware, customer modifications, third-party systems, or use of the software in an unsupported environment, except to the extent otherwise stated in an applicable written agreement.
Third-Party Services and Integrations
A project may depend on third-party software, application programming interfaces, hosting services, payment providers, databases, communication tools, or other external platforms.
Third-party services are controlled by their respective providers and may be subject to separate charges, accounts, licenses, privacy policies, availability limits, and terms of use.
ChatWise does not control and cannot guarantee the continued availability, compatibility, security, pricing, or functionality of a third-party service.
Changes made by a third-party provider may require additional development or modification, which may be charged separately.
Acceptable Use
You may not use the website, software, or services for unlawful, fraudulent, abusive, harmful, deceptive, or unauthorized purposes.
You may not attempt to interfere with the website, gain unauthorized access to systems or data, introduce malicious code, bypass security restrictions, misuse credentials, copy protected materials without authorization, or use the services in a way that infringes intellectual property, privacy, or other rights.
ChatWise may refuse, suspend, or terminate services when there is a reasonable belief that the services are being used unlawfully, create a security risk, violate these terms, or expose ChatWise or another party to harm.
Website Content
The website provides general information about ChatWise, its services, example projects, packages, pricing, and working process.
Website content may be updated at any time and does not create a binding project obligation unless incorporated into an accepted proposal or other written agreement.
Examples, demonstrations, portfolio descriptions, illustrations, and service descriptions are provided for informational purposes and do not guarantee that every project will include the same features, design, performance, price, or delivery time.
No Guaranteed Business Result
ChatWise provides software development and related technical services but does not guarantee that a project will produce a particular financial, commercial, operational, or regulatory result.
The effectiveness of software may depend on the customer's implementation, staff, processes, data quality, hardware, third-party systems, and business decisions.
The customer is responsible for determining whether the delivered software is suitable for its intended business use and any industry-specific requirements.
Service Warranties
ChatWise will use reasonable professional care in performing agreed services.
Except for commitments expressly stated in an accepted project document, the website and services are provided on an "as available" basis to the extent permitted by applicable law.
ChatWise does not promise uninterrupted or error-free operation, compatibility with every device or third-party system, or permanent availability of external services.
Nothing in these terms excludes any warranty or right that cannot lawfully be excluded.
Limitation of Liability
To the extent permitted by applicable law, ChatWise will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profit, revenue, business opportunity, goodwill, data, or anticipated savings arising from the website or services.
ChatWise will not be responsible for losses caused by inaccurate customer information, customer misuse, unauthorized modifications, missing backups, third-party platforms, external service interruptions, hardware failure, malware, security incidents outside ChatWise's reasonable control, or use of software outside the agreed conditions.
Where liability cannot be excluded, ChatWise's responsibility will be limited to the extent reasonably permitted by applicable law and any applicable written agreement.
Suspension and Termination
ChatWise may suspend or terminate website access, development work, support, or other services if the customer fails to make payment, materially breaches these terms, misuses the services, creates a security risk, or fails to provide cooperation necessary for the project.
Where reasonably possible, ChatWise will provide notice and an opportunity to resolve the issue before termination.
Termination does not remove the customer's obligation to pay for completed work, approved milestones, incurred costs, delivered services, or other amounts due before termination.
Terms concerning payment, ownership, confidentiality, liability, dispute handling, and other provisions that logically continue after termination will remain effective.
Events Outside Reasonable Control
ChatWise will not be responsible for delay or failure caused by circumstances outside its reasonable control, including internet or power outages, third-party service failures, cyber incidents, natural disasters, government actions, labor disruptions, illness, emergencies, or failures of systems not controlled by ChatWise.
When such circumstances occur, ChatWise will make reasonable efforts to communicate with the customer and resume the affected services.
Disputes
The parties should first attempt to resolve any concern through good-faith communication.
Customers may contact support@chatwise.us with a detailed description of the issue and relevant project or payment information.
Any unresolved dispute will be handled according to applicable law and any dispute provisions contained in the relevant service agreement or project documentation.
Changes to These Terms
ChatWise may update these Terms of Service to reflect changes in the website, services, payment practices, technology, business operations, or legal requirements.
The revised terms will be published on the website with an updated effective date.
Changes will apply to future website use and future transactions. Material changes affecting an existing project will not replace specifically agreed project terms unless both parties agree or the change is required by applicable law.
