Subscription and Recurring Billing Policy

Introduction

This Subscription and Recurring Billing Policy explains the terms that apply when a customer purchases optional recurring support, maintenance, software modification, or related monthly services from Chatwise LLC, operating under the ChatWise brand ("ChatWise," "we," "us," or "our").

ChatWise primarily provides custom software development services that may be purchased through one-time project payments. Recurring monthly support is optional and is not required unless the customer expressly agrees to a recurring service arrangement.

This Policy forms part of our Terms of Service and applies together with any accepted proposal, invoice, service agreement, order confirmation, statement of work, or other written terms applicable to the customer's subscription.

Optional Monthly Services

ChatWise may offer optional monthly support and modification services in connection with completed or active software projects.

Depending on the applicable arrangement, recurring services may include technical assistance, troubleshooting, minor software modifications, corrections, maintenance, consultations, or other services described in the accepted proposal or support plan.

The exact scope of a subscription will be defined in the relevant project or billing documentation. A monthly support subscription does not automatically include unlimited development, major new features, additional modules, complete redesigns, new integrations, third-party charges, or work outside the agreed support scope.

Work outside the subscription scope may require a separate estimate, payment, or project agreement.

Subscription Activation

A subscription begins only after the customer expressly accepts the applicable support plan or recurring billing terms.

Acceptance may be confirmed through a signed agreement, written email approval, electronic checkout, payment authorization, payment of a subscription invoice, or another method that reasonably demonstrates the customer's consent.

The customer is responsible for reviewing the subscription price, billing frequency, included services, and cancellation terms before activating the subscription.

Billing Cycle

Recurring support services are generally billed monthly unless a different billing period is stated in the applicable agreement or order confirmation.

The first billing date will be the date shown during checkout, on the invoice, or in the accepted subscription documentation. Future charges may be processed on or around the same calendar date during each billing cycle.

If a billing date falls on a date that does not exist in a particular month, the payment provider may process the charge on another date near the end or beginning of the relevant billing period.

Automatic Renewal

Where the customer authorizes automatic recurring billing, the subscription will renew automatically at the end of each billing period until it is cancelled.

By enrolling in an automatically renewing subscription, the customer authorizes ChatWise and the applicable payment provider to charge the approved payment method for each renewal period.

Automatic renewal applies only where it has been clearly disclosed and accepted by the customer. If the agreed arrangement uses manually issued monthly invoices rather than automatic payment, the customer will be required to pay each invoice according to its stated terms.

Subscription Fees

The subscription fee will be the amount stated in the accepted support plan, proposal, invoice, checkout page, or other written subscription documentation.

Website pricing may provide general examples or starting prices. The final recurring fee may depend on the project, software complexity, number of supported modules, expected workload, technical environment, and agreed support scope.

Any applicable taxes, payment processing charges, third-party costs, or currency conversion charges will be handled as stated during checkout, on the invoice, or in the applicable agreement.

Payment Authorization

The customer must provide a valid payment method where automatic recurring billing is used.

By providing payment details and activating a subscription, the customer confirms that they are authorized to use the selected payment method and authorizes the applicable recurring charges.

Payment information may be processed by a third-party payment provider. Full payment card details are generally handled directly by that provider and are subject to its own terms and privacy practices.

ChatWise may receive limited transaction information, including the customer's name, billing details, payment amount, transaction reference, and payment status.

Failed or Declined Payments

If a recurring payment is declined, expired, reversed, or otherwise unsuccessful, ChatWise or the payment provider may attempt to process the payment again.

The customer may be asked to update the payment method or pay an outstanding invoice manually.

ChatWise may pause or suspend subscription services until the overdue amount has been paid. A failed payment does not automatically cancel the subscription or remove the customer's obligation to pay for services already provided during the relevant billing period.

Subscription Service Period

Subscription services are provided during the billing period for which payment has been received.

Unused support time, requests, or included service capacity do not automatically carry over into a later billing period unless the applicable support arrangement expressly provides otherwise.

Availability, response expectations, service limits, and included work may be defined separately in the relevant proposal or service agreement.

A subscription does not guarantee that every requested modification will be completed within the same billing period. Completion may depend on the complexity of the request, required information, technical limitations, customer feedback, and the agreed service scope.

Customer Requests and Cooperation

The customer must provide clear instructions, access information, project details, approvals, and other cooperation reasonably necessary for ChatWise to perform subscription services.

Delays caused by missing information, unavailable systems, incomplete instructions, or late customer feedback do not automatically extend the billing period or create a right to a refund.

ChatWise may request that complex or substantial work be handled as a separate project where it exceeds the agreed subscription scope.

Changes to Subscription Scope

The customer may request a change to the subscription plan or support scope by contacting ChatWise.

Any increase, reduction, or modification of the subscription will become effective according to the written confirmation provided by ChatWise.

A change that requires additional work, expanded availability, new integrations, or a higher service level may result in a revised recurring fee.

ChatWise will not charge a revised subscription amount without communicating the change and obtaining the customer's agreement where required.

Price Changes

ChatWise may change subscription prices from time to time due to changes in service scope, operating costs, technical requirements, or business practices.

Any price change affecting an existing subscription will be communicated before the revised amount is charged.

The customer may cancel the subscription before the new price becomes effective if they do not wish to continue under the revised pricing.

Price changes will not retroactively alter charges for billing periods that have already been paid.

How to Cancel

A customer may request cancellation of a subscription by contacting ChatWise at support@chatwise.us.

The cancellation request should include the customer's name, company name where applicable, project or subscription reference, and the email address associated with the subscription.

The customer should submit the request before the next scheduled billing date to reduce the risk of an additional renewal charge.

Cancellation is effective when confirmed by ChatWise or processed through the applicable customer account or payment system.

Effective Date of Cancellation

Unless otherwise agreed in writing, cancellation will take effect at the end of the current paid billing period.

The customer may continue to receive the included subscription services until the end of that period.

After cancellation becomes effective, no further recurring subscription charges will be processed, except for outstanding amounts, previously authorized charges, work performed outside the subscription scope, or charges that were already in processing before the cancellation was completed.

Cancellation After a Renewal Charge

If a customer submits a cancellation request after a new billing period has begun or after the renewal charge has already been processed, the cancellation will generally apply to the next billing cycle.

The current billing period will normally remain active until its scheduled end.

Customers who believe a charge was processed after a valid and timely cancellation should contact support@chatwise.us so that the matter can be reviewed.

Refunds for Subscription Payments

Subscription payments are generally non-refundable once the relevant billing period has begun and ChatWise has made the support services available.

A customer's failure to submit support requests, use the available service, respond to communications, or provide required project information does not automatically create a right to a refund.

Refund requests may be reviewed on a case-by-case basis where there has been a duplicate payment, an incorrect charge, a billing error, an unauthorized transaction, or another reasonable issue.

Any approved refund will generally be returned through the original payment method where possible.

No Partial or Prorated Refunds

Unless required by applicable law or expressly agreed in writing, ChatWise does not provide partial or prorated refunds for unused days or unused services remaining in a billing period after cancellation.

The subscription normally remains active through the end of the paid period.

Where ChatWise terminates a subscription for reasons unrelated to customer conduct and does not provide the paid services for the remainder of the billing period, an appropriate refund or credit may be considered.

Cancellation of the Subscription and Existing Projects

Cancelling recurring support does not cancel, reverse, or refund a separate custom software development project.

Any unpaid project fees, approved milestones, additional work, third-party expenses, or other amounts remain due according to the relevant project terms.

After subscription support ends, future corrections, modifications, maintenance, or assistance may require a new service arrangement and additional payment.

Suspension or Termination by ChatWise

ChatWise may suspend or terminate a subscription if the customer fails to make payment, materially breaches the applicable terms, misuses the services, creates a security risk, requests unlawful work, or fails to provide cooperation necessary for the service.

Where reasonably possible, ChatWise will provide notice and an opportunity to resolve the issue before termination.

Termination does not remove the customer's responsibility to pay for completed services, outstanding subscription fees, approved additional work, or costs incurred before termination.

Third-Party Services

Subscription support may involve third-party platforms, hosting providers, software libraries, application programming interfaces, payment services, or other external systems.

Third-party services may be subject to separate fees, licenses, availability conditions, and terms.

The subscription fee does not include third-party costs unless the applicable agreement expressly states otherwise.

Changes, outages, discontinuation, or price increases imposed by third-party providers may require changes to the support scope, schedule, or subscription fee.

Chargebacks and Billing Disputes

Customers are encouraged to contact ChatWise before initiating a chargeback or payment dispute.

ChatWise will review reported billing concerns in good faith and may request transaction details, invoices, subscription records, cancellation communications, or other information necessary to investigate the matter.

A chargeback does not automatically cancel the subscription or remove the customer's obligation to pay valid charges for services provided.

ChatWise may provide the payment processor with relevant subscription records, payment authorizations, communications, service records, and cancellation information when responding to a dispute.

Changes to This Policy

ChatWise may update this Subscription and Recurring Billing Policy to reflect changes in services, billing methods, payment providers, business operations, or legal requirements.

The updated Policy will be published on the website with a revised effective date.

Material changes affecting an active subscription will be communicated where appropriate. Existing subscription-specific terms will continue to apply unless the customer accepts revised terms or a change is required by applicable law.
